Who you are contracting with. This website is operated by Pickydata Ltd, a company registered in England & Wales under company number 17321960, whose registered office is at Flat A, 51 Tredegar Street, Newport NP10 8RJ, Wales, United Kingdom. In these terms, “we”, “us”, “our” and “the Company” mean Pickydata Ltd, and “you” means the person or organisation commissioning work from us. “This website” means the site published at datsoft.uk.
1Contact details
Email [email protected] · telephone +44 7480 252 597 · post to the registered office above. Our normal working hours are Monday to Friday, 08:30 to 17:30 UK time, excluding English and Welsh bank holidays.
2What we provide
We supply bespoke software engineering services. Depending on what is agreed, an engagement may include:
- Discovery and technical scoping: reviewing existing systems and producing an architecture, a risk register and a costed plan.
- Design, development, testing and deployment of web applications.
- Design, development, testing and release of mobile applications for iOS and Android.
- Integration between existing systems and third-party APIs.
- Assessment and remediation of existing (legacy) software, including written audits.
- Ongoing maintenance, monitoring and on-call support under a monthly arrangement.
- Part-time technical direction (“fractional CTO”) engagements charged by the day.
What is not included unless we state otherwise in writing: third-party licence, hosting, app-store, domain or subscription fees; graphic design or brand work delivered on its own; copywriting; paid advertising; hardware; and any regulatory certification or legal advice. We do not take design-only projects, and we do not build or maintain WordPress sites.
3How work is commissioned
Nothing on this website is an offer capable of acceptance. Enquiries reach us through the form on this website, by email or by telephone. We will then normally hold a short call, and if the work suits us we issue a written proposal setting out the scope, the price, the assumptions and the timetable.
A contract comes into existence only when you accept that written proposal in writing (email is sufficient) and we acknowledge your acceptance. Until then either side may walk away with no liability. We decline a meaningful proportion of enquiries, usually because we cannot staff the work properly, and we will say so plainly rather than take it on.
4Prices and quotations
The figures shown on this website are indicative starting prices for the type of work described, not quotations, and they may change. A binding price appears only in a written proposal.
Unless the proposal says otherwise: quotations are valid for 30 days from issue; prices are quoted in pounds sterling; and prices are exclusive of VAT, which is added at the prevailing rate where chargeable. We quote for a defined piece of work rather than by the hour. If you ask for something outside the agreed scope we will quote for that change separately, in writing, before doing it.
5Payment
Unless the proposal says otherwise:
- Discovery and other fixed-price engagements under £5,000 are invoiced in full on completion.
- Build work is invoiced at the end of each two-week increment, for the increment completed.
- Monthly maintenance and on-call is invoiced monthly in advance.
- Day-rate engagements are invoiced monthly in arrears for the days worked.
Invoices are payable by bank transfer within 14 days of the invoice date. We do not take payment through this website. If an invoice is not paid on time we may suspend work on notice, and we may charge interest and recovery costs under the Late Payment of Commercial Debts (Interest) Act 1998 where that Act applies.
6Delivery and what we need from you
We deliver in two-week increments, with working software at the end of each one, deployed to infrastructure you control. Timetables in a proposal are honest estimates, not guarantees, and they assume that you provide, within a reasonable time: access to the relevant systems, accounts and data; a named decision-maker able to answer questions and approve increments; and any content or third-party credentials the work depends on. Where a delay is caused by something outside our control, or by information or access we are waiting on, the timetable moves by a matching period and we will tell you promptly.
7Changes, cancellation and cooling off
If you are a consumer
If you are an individual contracting outside your trade, business, craft or profession, and the contract was made at a distance or away from our premises, you have the right under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 to cancel within 14 days of entering into it, without giving a reason. Tell us by any clear statement — an email to [email protected] is enough — and we will refund you within 14 days of being told. If you ask us in writing to begin work during the 14-day period, and we then complete it, the right to cancel ends on completion; if you cancel part-way through, you must pay a proportionate amount for what was done up to that point.
If you are a business
Either side may end an engagement on 30 days’ written notice. Monthly maintenance and on-call may be cancelled on 30 days’ notice with no penalty. On termination you pay for all increments and days completed, and for any work in progress and non-cancellable third-party costs properly committed before notice. We will hand over everything produced up to that point once those sums are settled.
8Refunds and putting things right
If delivered work does not do what the proposal said it would, tell us and we will correct it at our own cost. Where a defect cannot be corrected within a reasonable time, we will refund the amount paid for the affected increment or deliverable. Refunds are made by the same method as the original payment, within 14 days of being agreed.
Nothing here removes your statutory rights. If you are a consumer, the Consumer Rights Act 2015 requires services to be supplied with reasonable care and skill, and gives you rights to repeat performance or a price reduction where they are not.
9Intellectual property
We retain ownership of everything we produce for you until the relevant invoices are paid in full. On full payment, all intellectual property rights in the bespoke source code, documentation and other deliverables created specifically for you pass to you.
Two exceptions. First, we keep ownership of our own pre-existing tools, libraries and general know-how, and grant you a perpetual, non-exclusive, royalty-free licence to use them as part of the deliverables. Second, open-source components remain under their own licences, which we will list on request. You keep ownership of everything you supply to us, and you confirm that you have the right to supply it.
We may describe the work in general terms as a reference, without naming you or disclosing anything confidential, unless you ask us in writing not to.
10Confidentiality
Each side will keep the other’s confidential information confidential, use it only for the engagement, and not disclose it without consent, except where disclosure is required by law or the information is already public through no fault of the receiving party. This survives the end of the contract.
11Liability
Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited — including, where you are a consumer, your statutory rights.
Subject to that, and where you are contracting as a business: we are not liable for loss of profit, loss of revenue, loss of business, loss of anticipated savings, loss of goodwill or any indirect or consequential loss; and our total liability arising out of or in connection with an engagement, whether in contract, tort (including negligence), breach of statutory duty or otherwise, is limited to the total fees paid by you under that engagement in the 12 months before the claim arose.
We maintain professional indemnity insurance appropriate to the size and nature of the work we take on.
12Resolving a dispute
If something goes wrong, please contact us first at [email protected] or on +44 7480 252 597. We will acknowledge within 5 working days and give a written response within 20 working days. If that does not settle it, both sides agree to try mediation through a recognised UK mediation provider, sharing the mediator’s costs equally, before starting court proceedings. Nothing in this clause prevents either side from seeking urgent injunctive relief or from pursuing a debt claim.
13General
These terms, together with the accepted written proposal, form the whole agreement between us; the proposal prevails if the two conflict. We may not transfer the contract without your consent, and you may not transfer it without ours, except to a company you merge with or which acquires your business. If a court finds any part of these terms unenforceable, the rest continues to apply. A person who is not a party to the contract has no rights under the Contracts (Rights of Third Parties) Act 1999. Neither side is liable for failure caused by events beyond its reasonable control. We may update these terms from time to time; the version in force when your proposal was accepted is the one that governs that engagement.
14Governing law and jurisdiction
These terms and any dispute or claim arising out of them, including non-contractual ones, are governed by the laws of England and Wales, and both sides submit to the exclusive jurisdiction of the courts of England and Wales. If you are a consumer resident elsewhere in the United Kingdom, you may also bring proceedings in the courts of the part of the UK where you live.
